Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WMS Africa (WaterMeetSky Company Limited) ("Company," "we," "our," or "us") concerning your use of the PRISM HR management platform ("Service").

Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Description of Service

PRISM is a comprehensive HR management platform that provides tools for employee management, performance reviews, leave tracking, document management, and related HR functionalities. The Service is designed for businesses and organizations to manage their human resources operations.

User Accounts and Registration

To use certain features of our Service, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Transmit or upload any harmful, illegal, or offensive content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to harass, abuse, or harm another person
• Impersonate any person or entity or misrepresent your affiliation

Subscription and Payment

Our Service is offered on a subscription basis. By subscribing, you agree to:

• Pay all applicable fees as described in your subscription plan
• Provide accurate billing information and keep it updated
• Authorize automatic billing for recurring subscriptions
• Understand that fees are non-refundable except as explicitly stated

Data and Privacy

Your privacy is important to us. Our collection, use, and disclosure of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any data you upload or process through the Service complies with applicable data protection laws.

Intellectual Property Rights

Service Availability

We strive to maintain high availability of our Service but cannot guarantee uninterrupted access. We may temporarily suspend or restrict access to the Service for maintenance, updates, or other operational reasons. We will provide reasonable notice of planned maintenance when possible.

Limitation of Liability

To the maximum extent permitted by applicable law, WMS Africa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Indemnification

You agree to defend, indemnify, and hold harmless WMS Africa and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately, and you may lose access to your data.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Continued use of the Service after such changes constitutes acceptance of the new Terms.
